Terms of Service

These Terms of Service ("Terms") govern your access to and use of GreensWrld, including the website at greenswrld.com, the GreensWrld mobile and web applications, and related services (collectively, the "Service"). The Service is operated by Sylion LLC ("Sylion," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using GreensWrld, you confirm that:

• You are at least 13 years old (or the minimum age of digital consent in your jurisdiction).
• You have the legal capacity to enter into a binding agreement.
• You will comply with these Terms and all applicable laws.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

GreensWrld is a digital platform that helps users grow plants, discover local agricultural resources, and connect with their community. The Service includes three core pillars:

• GAIA — An AI assistant that provides plant identification, pest diagnosis, care guidance, and related agricultural information.
• Marketplace — A peer-to-peer feature that allows users to list, browse, and arrange trades or purchases of plants and related items locally.
• Directory — A location-based directory of nurseries, farmers markets, community gardens, and similar agricultural resources.

Sylion may add, modify, or remove features at any time.

3. User Accounts

3.1 Account Creation

To use most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@greenswrld.com if you suspect any unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time via Profile → Settings → Delete Account. Sylion may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our reasonable discretion. We will make reasonable efforts to notify you in advance where appropriate.

4. Subscriptions and Payments

4.1 GreensWrld Pro

Access to GAIA and certain Marketplace features requires a GreensWrld Pro subscription, currently billed at $20 USD per month. Pricing may change with reasonable notice.

4.2 Auto-Renewal

GreensWrld Pro subscriptions automatically renew each month until canceled. You authorize Sylion to charge the payment method on file for each renewal.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting contact@greenswrld.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends.

4.4 Refunds

Subscription fees are generally non-refundable, except where required by applicable law. If you believe you have been charged in error, contact us at contact@greenswrld.com and we will review the request in good faith.

4.5 Payment Processing

Subscriptions are processed through a secure payment partner that meets industry security standards. For iOS users, subscription purchases may be processed in accordance with applicable platform requirements. By subscribing, you agree to the terms of the applicable payment method.

4.6 Taxes

You are responsible for any applicable taxes related to your subscription, unless Sylion is required by law to collect them on your behalf.

5. User Content

5.1 Your Content

You retain ownership of all content you create or upload to the Service, including Marketplace listings, photos, profile information, and messages submitted to GAIA ("User Content").

5.2 License to Sylion

By submitting User Content to the Service, you grant Sylion a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process that content as necessary to operate and provide the Service.

5.3 Research Program License

If you opt into the GreensWrld research contribution program (via Profile → Settings), you additionally grant Sylion a perpetual, worldwide, royalty-free license to use anonymized copies of plant and pest images you submit to GAIA, along with associated diagnostic metadata, for the purpose of improving the Service and conducting agricultural and machine learning research. Contributions collected by the app may still include account identifiers and identifying details in images; removing embedded metadata alone does not make a contribution anonymous. Those records are handled as described in the Privacy Policy, including its account-deletion process. You may opt out at any time to stop new contributions. Only data that has been made anonymous is covered by the continuing research license above.

5.4 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to submit the content.
• Your content does not violate any law or third-party rights.
• Your content does not contain harmful, illegal, infringing, or misleading material.

6. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party rights.
• List or trade plants, seeds, or materials that are illegal to sell, transport, or possess in your jurisdiction (including invasive species, endangered species, or controlled botanicals).
• Post false, misleading, or fraudulent listings.
• Harass, threaten, defame, or harm other users.
• Submit content that is hateful, sexually explicit, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Use automated systems (bots, scrapers, crawlers) to access the Service without our written permission.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Interfere with or disrupt the Service's operation or servers.
• Use the Service to develop a competing product or service.

Violation of this section may result in suspension or termination of your account, removal of your content, and, where appropriate, legal action.

6.1 Content Moderation and Reporting

You can report objectionable content or abusive users using the in-app report controls or by emailing contact@greenswrld.com with a link or screenshot. We review reports and may remove violating content, restrict accounts, or suspend users where warranted. You can also block users through the available safety controls.

7. Marketplace and User-to-User Interactions

7.1 Peer-to-Peer Nature

The Marketplace allows users to express interest in each other's listings and arrange transactions directly with one another. Sylion is not a party to any transaction between users. Specifically:

• We do not process, handle, or escrow payments for Marketplace trades.
• We do not verify the quality, legality, safety, or accuracy of any listing.
• We do not guarantee that interested buyers and sellers will complete transactions.
• We do not host or moderate direct messages between users.

When a buyer expresses interest in a listing, the contact channels the buyer has chosen to share are made visible to the seller. All subsequent communication and coordination happens directly between buyer and seller on the channels they choose.

7.2 Address and Location Safety

Marketplace exchanges do not require you to publish a home address. Nearby discovery uses location information, and public businesses may have street addresses in the Directory. We recommend that users:

• Meet in public places for plant exchanges whenever possible.
• Use their own judgment about sharing personal contact information.
• Report any suspicious or unsafe behavior to contact@greenswrld.com.

7.3 Your Responsibility

You are solely responsible for:

• Verifying the identity and trustworthiness of any user you transact with.
• Complying with any local, state, federal, or international laws governing the sale or transfer of plants.
• Meeting safely and using common sense when conducting in-person trades.
• Any disputes, damages, or losses arising from a Marketplace transaction.

7.4 Plant Regulations

Some plants, seeds, and cuttings are regulated by federal, state, or local law. It is your responsibility to know and comply with all applicable regulations before listing or transacting.

8. GAIA AI Disclaimer

GAIA provides plant identification, pest diagnosis, care guidance, and other agricultural information generated by artificial intelligence. GAIA is provided for general informational and educational purposes only.

• GAIA is not a substitute for professional advice from a certified horticulturist, agronomist, plant pathologist, veterinarian, or medical professional.
• GAIA may produce incorrect, incomplete, or outdated information.
• You should not rely on GAIA for decisions involving plant safety, food safety, health, or financial consequence without independent verification.
• Some plants are toxic to humans or pets. Always verify the safety of any plant through authoritative sources before consumption, handling, or placement near children or animals.

By using GAIA, you acknowledge these limitations and accept full responsibility for any actions you take based on its output.

9. Intellectual Property

The Service, including its design, code, text, graphics, logos, branding, and trademarks, is owned by Sylion LLC or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

The names "GreensWrld," "GAIA," "Sylion," and related logos are trademarks of Sylion LLC.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, Sylion disclaims all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Service will be uninterrupted, error-free, secure, or free of viruses; and warranties regarding the accuracy or completeness of any content, including GAIA's output or the conduct of any Marketplace transaction.

12. Limitation of Liability

To the fullest extent permitted by law, Sylion LLC, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses. Our total cumulative liability to you for any claim will not exceed the greater of (a) the amount you paid to Sylion in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sylion LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use or misuse of the Service, your User Content, your violation of any law or third-party right, or any dispute between you and another user, including Marketplace transactions and off-platform communications.

14. Modifications to the Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time by deleting your account. Sections that by their nature should survive termination will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. Any claim must be brought in your individual capacity and not as part of any class or representative action.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sylion regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
• No Waiver: Our failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. Sylion may assign these Terms freely.

18. Apple App Store

If you access the Service through an app downloaded from the Apple App Store, the following additional terms apply:

• These Terms are between you and Sylion only — not with Apple Inc. ("Apple"). Apple is not responsible for the Service or its content.
• Apple has no obligation to furnish any maintenance or support services for the Service.
• In the event the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the app (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
